These Terms of Service ("Terms") govern your access to and use of the website flowzaro.com (the "Site") and the services provided by Flowzaro (operated by ZAK Bridge Global LLC, DBA Flowzaro) ("Company", "we", "us", or "our").

By using our Site or services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.

Flowzaro provides managed execution services, which may include:

• Short-form video editing and content production
• Lead generation and sales operations support
• CRM setup, automation, and systems integration
• E-commerce and operational support

The specific scope of work for any engagement will be defined in a separate Statement of Work (SOW) or client agreement. That SOW — not these Terms — will define the exact deliverables, timeline, and pricing for your project.

Flowzaro provides execution services based on client instructions, strategies, and inputs.

We do not guarantee specific business outcomes, including but not limited to:

• Increased sales, revenue, or leads
• Viral or specific view counts
• Search engine rankings or traffic
• Conversion rates or return on investment (ROI)
• Any other performance metric

Results depend on multiple factors outside of our control, including market conditions, audience behavior, and client execution. Client is solely responsible for its business strategy, marketing decisions, and use of our deliverables.

• Services are provided on a monthly retainer basis or fixed project basis as defined in the SOW
• Monthly retainers are billed 100% in advance on the 1st of each month
• Fixed projects require a 50% deposit to begin, with the remaining 50% due before final delivery
• Monthly fees are non-refundable once the billing period has begun
• Payments are non-refundable once work has commenced on a fixed project
• Failure to make payment may result in immediate suspension or termination of services

Clients agree to:

• Provide necessary information, assets, and materials in a timely manner
• Grant appropriate access to relevant tools and platforms
• Provide clear feedback and approvals within agreed timeframes
• Designate a single point of contact for all communications

Primary communication will occur via email or agreed-upon platform. Flowzaro is not responsible for delays caused by client inaction, late feedback, missing assets, or delayed approvals. Timelines will be extended accordingly.

Services are limited to the scope expressly defined in the SOW. Any work requested outside of the defined scope requires a written Change Order and may result in additional fees and adjusted timelines.

Flowzaro shall not perform out-of-scope work without an approved Change Order.

All deliverables created by Flowzaro remain the sole property of Flowzaro until full payment has been received. Upon receipt of full payment, ownership of final deliverables transfers to the client.

Flowzaro retains the right to display non-confidential work in its portfolio (e.g., website, case studies, marketing materials) unless the client explicitly requests otherwise in writing.

Flowzaro also retains the right to use pre-existing tools, methodologies, code libraries, or frameworks developed prior to or independently of any client engagement.

Included Revisions:

• Video Services: Includes up to two (2) rounds of revisions per video
• System Builds: Includes one (1) structured revision phase

Additional revisions may be billed at an hourly rate.

Acceptance: If the client does not provide written feedback within five (5) business days of delivery, the deliverables shall be deemed accepted.

By Either Party: Either party may terminate a monthly retainer agreement with thirty (30) days' written notice.

By Flowzaro for Cause: Flowzaro may terminate services immediately upon written notice if:

• Client fails to make any payment when due and does not cure such failure within ten (10) days of receiving written notice
• Client materially breaches these Terms or the SOW

Effect of Termination: Upon termination, client shall pay Flowzaro for all services performed and deliverables delivered up to the date of termination. Flowzaro shall deliver any completed deliverables for which payment has been received. Monthly fees are non-refundable once the billing period has begun.

Flowzaro shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, internet outages, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

To the fullest extent permitted by law, Flowzaro's total liability arising out of or related to these Terms or any SOW shall not exceed the total fees paid by the client to Flowzaro under the applicable SOW.

In no event shall Flowzaro be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.

Client agrees to indemnify, defend, and hold harmless Flowzaro and its officers, employees, and agents from any claims, damages, losses, or expenses arising out of:

• Client's breach of these Terms or any SOW
• Client's violation of any applicable law or regulation

Flowzaro operates as an independent contractor. Nothing in these Terms or any SOW creates a partnership, joint venture, agency, or employment relationship between Flowzaro and the client.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Any legal action arising out of or relating to these Terms or any SOW shall be brought exclusively in the state or federal courts located in Orange County, California.

We may update these Terms from time to time. Changes will be posted on this page with an updated "Effective Date." Your continued use of our Site or services after any changes constitutes acceptance of the new Terms.
